Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of the TRAYL platform (the "Service"), operated by Trayl LLC ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

TRAYL is a campaign management platform that helps brands run influencer campaigns end-to-end — importing creators, sending NDAs and offers, tracking production, and reporting results. The exact features available depend on your subscription plan.

2. Accounts

You must provide accurate information when creating an account and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. If you sign up on behalf of an organization, you confirm you are authorized to bind it to these Terms.

3. Acceptable use

You agree not to:

  • Use the Service for any unlawful, fraudulent, or abusive purpose;
  • Send spam or unsolicited messages through the Service;
  • Infringe the intellectual property or privacy rights of others;
  • Probe, scan, scrape, or otherwise interfere with the security or integrity of the Service, including by uploading malware;
  • Reverse engineer, resell, or redistribute the Service or its components.

4. Intellectual property

We retain all right, title, and interest in and to the Service, including the software, design, documentation, and TRAYL branding. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan.

5. User content

You retain ownership of the content (creator data, briefs, assets, messages) you upload to the Service. You grant us a limited license to host and process that content solely to operate and improve the Service for you.

6. Payments and subscriptions

Payments are processed by Stripe, our payment processor. By subscribing, you authorize us (through Stripe) to charge your chosen payment method for the applicable subscription fees. Card details are handled directly by Stripe and are not stored on our servers.

Subscriptions renew automatically each billing period until canceled. You can cancel or manage your subscription at any time from your billing page in the app.

7. Service level and warranties

We work hard to keep the Service available and reliable, but we do not guarantee uninterrupted, error-free, or fully secure operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the Service is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where excluding it would be unlawful.

9. Indemnity

You agree to indemnify and hold us harmless from any third-party claim arising from your content, your unlawful use of the Service, or your violation of these Terms.

10. Suspension and termination

We may suspend or terminate your access to the Service if you materially breach these Terms, fail to pay, or pose a security or fraud risk. On termination, your right to use the Service ends and we may delete your content after a reasonable export window.

11. Changes

We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the jurisdiction in which Trayl LLC is established. Any dispute will be resolved in the competent courts of that jurisdiction.
